1. Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Lumosor ("we," "us," or "our"), governing your access to and use of lumosor.com, the Lumosor dashboard, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of an organization, you confirm you have authority to bind that organization.

2. Description of the Service

Lumosor is a SaaS platform that connects to Google Search Console, Google Analytics, and Bing Webmaster Tools to provide SEO audits, keyword rank tracking, a guided 90-day roadmap, and related tools for websites. Lumosor also provides App Store Optimization (ASO) tools, including listing audits and store keyword tracking, for iOS and Android apps. Additional features include an AI Assistant, white-label client reporting, and, on the Agency plan, API access.

3. Accounts and eligibility

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must provide accurate account and billing information and keep it up to date.
• You are responsible for the accuracy of website and app store URLs, and for having the authority to connect any Google, Bing, or app store accounts you link to Lumosor.

4. Subscription plans and billing

4.1 Plans

Lumosor currently offers three subscription tiers: Starter ($59/month), Growth ($199/month), and Agency ($499/month), each including website SEO and app ASO features as described on our Pricing page. Feature availability and limits (such as number of projects, report frequency, and AI Assistant credits) vary by plan and may be updated from time to time; the current details on the Pricing page govern.

4.2 Free audit

Lumosor offers a free website and app audit without requiring a paid subscription. Free audits are provided "as is" and do not include ongoing rank tracking, roadmap, or reporting features.

4.3 Billing

• Subscriptions are billed in advance on a recurring monthly basis (or another interval shown at checkout) until cancelled.
• Payments are processed by a third-party payment processor. By subscribing, you authorize us to charge your chosen payment method on each billing cycle.
• Fees are exclusive of applicable taxes unless stated otherwise; you're responsible for any taxes associated with your purchase.
• You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.
• We may change our pricing with at least 30 days' notice before the change applies to your next billing cycle.

5. Third-party connections

The Service integrates with third-party platforms, including Google Search Console, Google Analytics, Bing Webmaster Tools, App Store Connect, and Google Play Console. Your use of these integrations is also subject to the respective third party's terms of service. Lumosor is not responsible for the availability, accuracy, or changes to third-party APIs, and features relying on them may be affected by changes those providers make outside our control. You may disconnect any third-party account at any time from your dashboard settings.

6. Acceptable use

You agree not to:

• Use the Service to violate any applicable law, or the terms of any third-party platform (including Google's or an app store's terms) you connect via Lumosor;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Use the Service to submit or track data for websites or apps you don't own or have authorization to manage;
• Reverse-engineer, scrape, or resell the Service or its underlying data without our written consent;
• Use the AI Assistant to generate unlawful, infringing, or abusive content;
• Interfere with or disrupt the integrity or performance of the Service.

7. AI Assistant and credits

Paid plans include a monthly allowance of AI Assistant credits used to generate briefs, fixes, and roadmap coaching. Unused credits do not roll over unless stated otherwise on the Pricing page. AI-generated output is provided as a starting point and suggestion only; you're responsible for reviewing and verifying any AI-generated content, including SEO recommendations, before acting on it or publishing it.

8. White-label reports and client use

Growth and Agency plans allow you to generate white-label reports for your own clients. You are responsible for your relationship with, and any commitments made to, your clients. Lumosor is not a party to those relationships and makes no representations to your clients about report accuracy beyond what is stated in these Terms.

9. API access

Agency plan subscribers may access Lumosor's API, subject to any separate API documentation, rate limits, and acceptable use rules we publish. We may suspend API access that we reasonably believe is causing excessive load or being used in violation of these Terms.

10. Intellectual property

• Lumosor and its licensors own all rights, title, and interest in the Service, including its software, design, and underlying technology. These Terms don't grant you any rights to our trademarks or branding except as needed to use the Service.
• You retain ownership of the data you submit to Lumosor (such as your project URLs, keyword lists, and content), and reports generated for your own use or your clients' use.
• You grant us a limited license to use your data solely to provide and improve the Service as described in our Privacy Policy.

11. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimers

Lumosor provides tools, data, and recommendations to help guide your SEO and ASO strategy, but we do not guarantee any specific search ranking, traffic increase, app store position, or business outcome. Search and app store ranking algorithms are controlled by third parties (such as Google, Apple, and Bing) and can change at any time without notice.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMOSOR AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud or death or personal injury caused by negligence.

14. Indemnification

You agree to indemnify and hold Lumosor harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights, including rights related to the websites or apps you connect to Lumosor.

15. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security or legal risk to Lumosor or others. Upon termination, your right to use the Service ends, though provisions that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the dashboard at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable local consumer protection law.

18. General

• These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lumosor regarding the Service.
• If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Our failure to enforce any right or provision won't be considered a waiver of that right.
